EULA - End User License Agreement

atina LICENSE STATEMENT for the software product SchedulerLite

IMPORTANT, READ CAREFULLY:
This license statement constitutes a legal agreement ("License Agreement") between you (either as an individual or a single entity) and Atkinson, Inglis & Associates ("atina") for the software product ("Software") identified above, including any software, media, and accompanying on-line or printed documentation.

The Software is licensed not sold.

By downloading, installing, copying, or otherwise using the Software, you agree to be bound by all of the terms and conditions of the License Agreement. If you do not agree with the terms and conditions of the License Agreement, promptly delete all copies of the Software in your possession.

Upon your acceptance of the terms and conditions of the License Agreement, atina grants you the right to use the Software in the manner provided below.

All title and copyrights in and to the Software are owned by atina and its suppliers and are protected by copyright law and international copyright treaty. Therefore, you must treat this Software like any other copyrighted material (e.g. a book), except that you may either make one copy of the Software solely for backup or archival purposes or transfer the Software to a single hard disk provided you keep the original solely for backup or archival purposes.

You may transfer the Software and documentation on a permanent basis provided you retain no copies and the recipient agrees to the terms of the License Agreement. Except as provided for in the License Agreement, you may not transfer, rent, lease, lend, copy, modify, translate, sublicense or time-share the Software, media or documentation. You acknowledge that the Software in source code form remains a confidential trade secret of atina and/or its suppliers and therefore you agree not to modify the Software or attempt to reverse engineer, decompile, or disassemble the Software, even where such activity is expressly permitted by applicable law.

UPGRADE
If you upgrade a version of the Software, the upgraded Software and the version of the Software that you upgraded constitute a single product. You may use or transfer the upgraded Software only in accordance with the License Agreement.

GRANT
atina grants you a limited, non-exclusive license to install and use one copy of the SOFTWARE free of charge if your use of the Software is exclusively at home and for non-commercial purposes.

If you do not meet the requirements for free use of the Software, you may install and use one copy of the Software for up to thirty (30) days for the purpose of evaluating whether to purchase a commercial license.

If you purchase a license, atina grants you a limited, nonexclusive license to install and use one copy of the Software.

You may install a copy of the Software on a computer and freely move the Software from one computer to another, provided that you are the only individual using the Software. If you are an entity, atina grants you the right to designate one individual within your organization ("Named User") to have the right to use the Software in the manner provided above.

TERMINATION
Without prejudice to any other rights or remedies, atina will terminate this License Agreement upon your failure to comply with all the terms and conditions of this License Agreement. In such event, you must destroy all copies of the Software and all of its component parts including any related documentation.

HIGH-RISK ACTIVITIES
The Software is not fault tolerant and must not be used in environments requiring failsafe performance. atina and its suppliers specifically disclaim any express or implied warranty of fitness for high-risk activities.

WARRANTY
This software product is provided "as is" without warranty of any kind. To the maximum extent permitted by applicable law, atina and its suppliers disclaim all warranties, either express or implied, including but not limited to, fitness for a particular purpose, merchantability and the provision of or failure to provide support services.

The entire risk arising out of the use or performance of the Software and documentation remains with you. To the maximum extent permitted by applicable law, in no event shall atina and its suppliers be liable for any consequential, incidental, direct, indirect, special, punitive, or other damages whatsoever (including, without limitation, damages for loss of business profits, business interruption, loss of business information, or other pecuniary loss) arising out of the use or inability to use this product, even if atina has been advised of the possibility of such damages.

LIABILITY
You agree to indemnify and hold safe atina and its suppliers from any claims or lawsuits, including legal fees, which may arise or result from the use of the Software.

atinas and its suppliers entire liability and your exclusive remedy shall not exceed the price paid for the Software.

GOVERNING LAWS
This License Agreement and all related actions thereto shall be governed by the laws of the State of Queensland, Australia.

RESERVATION OF RIGHTS
atina and its suppliers reserve all rights whether they are specifically granted in this License Agreement or not.

EXPORT RESTRICTIONS
Some of the components of the Software are subject to export restrictions imposed by the Government of the United States of America. As a condition of the licenses of these components the Software cannot be exported to a country which is subject to U.S.A. export restrictions. As a result if you are a national of, agent for, reside in or are in any way affiliated to a country which is subject to U.S.A. export restrictions you are not entitled to license this software. Therefore you are not legally entitled to use the software.

MISCELLANEOUS
If any provision of this License Agreement is held to be invalid or unenforceable, the remaining provisions of this License Agreement will remain in full force.
